Terms of Service

Please read these Terms carefully. They include our 30-day refund policy for the BOLD Course, different rules for coaching and corporate engagements, and important limitations on our liability. By using our sites or buying a program, you agree to these Terms.

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between Meso Holdings, LLC (“Company,” “we,” “us,” or “our”), a Wyoming limited liability company that operates The Bold Negotiator brand, and you (“you” or “Customer”). By visiting or using our websites, creating an account, buying a program, or otherwise using our Services, you agree to these Terms. If you do not agree, do not use the Services.

2. The Services

“Services” means the content, tools, and programs we offer, including:

  • Our websites: boldcourses.com, theboldnegotiator.com, and professorphil.com (the “Sites”);
  • BOLD 30 — a free 30-day challenge;
  • The BOLD Course — a paid self-paced online course;
  • Professor Phil — an AI coaching assistant;
  • Coaching and corporate training — one-on-one and group engagements booked separately;
  • Books, videos, emails, downloadable worksheets, and other materials made available through the Sites.

3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority where you live) to purchase our paid Services. You are responsible for keeping your login credentials confidential and for everything that happens under your account. Notify us immediately at support@boldcourses.com if you suspect unauthorized use.

4. Purchases and Pricing

Prices are shown on the Sites at the time of purchase and are in U.S. dollars unless stated otherwise. By placing an order you authorize us (or our payment processors, currently Stripe and GoHighLevel) to charge your payment method for the total amount, including any applicable taxes. You represent that you are the authorized user of the payment method.

5. Refunds and Cancellations

5.1 BOLD Course — 30-Day Refund

If you purchase the BOLD Course and decide within 30 days of your purchase that it isn’t right for you, we’ll refund you in full.

To request a refund, email support@boldcourses.com from the email address associated with your account within 30 days of the purchase date. Refunds are processed to the original payment method and typically appear within 5–10 business days. Upon refund, your access to the BOLD Course and any associated bonus materials will be revoked.

The 30-day refund window is the exclusive remedy for Course dissatisfaction. Refund requests submitted after 30 days, or for purchases of any Service other than the BOLD Course, are governed by the rules below.

5.2 Coaching and Corporate Training

One-on-one coaching engagements and corporate training programs are not governed by the 30-day refund policy in Section 5.1. Each such engagement is sold under a separate written agreement (the “Engagement Agreement”) signed before work begins. Refund, cancellation, rescheduling, and payment terms for coaching and corporate training are set out in that Engagement Agreement and supersede this Section 5 for those services. Absent an Engagement Agreement, coaching and corporate training purchases are non-refundable.

5.3 BOLD 30 and Free Services

BOLD 30 and any other free Service carries no fee and therefore no refund obligation. You may unsubscribe at any time using the links in our emails or by contacting support@boldcourses.com.

5.4 Chargebacks

Please contact us before initiating a chargeback. If you file a chargeback for a purchase that falls within our refund policy, we will provide the refund directly — filing a chargeback first complicates that process and may result in suspension of your access. Chargebacks filed for purchases outside of the refund window, or for services provided under an Engagement Agreement, will be contested.

5.5 Technical Issues

If you believe you were charged in error or experienced a technical failure that prevented access, contact us at support@boldcourses.com and we will work with you in good faith regardless of the 30-day window.

6. License to Use the Content

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services and their content for your own individual learning.

You may not, without our prior written consent:

  • Share your login credentials with anyone else, or allow multiple people to use a single account;
  • Copy, record, screen-capture for redistribution, republish, post, transmit, or resell any course materials, worksheets, videos, audio, or Professor Phil conversations;
  • Use any content to train, fine-tune, or evaluate a machine-learning model;
  • Use the Services to deliver competing training, coaching, or consulting to third parties;
  • Reverse-engineer, scrape, or attempt to extract the underlying prompts, code, or data of Professor Phil or any other part of the Services;
  • Remove or obscure any copyright, trademark, or proprietary notice.

All rights not expressly granted are reserved. The BOLD, BRAVE, BOLD Negotiator name, logos, and frameworks are trademarks of Meso Holdings, LLC.

7. Corporate and Team Use

Accounts are for a single user. If your company wants to enroll multiple employees or run an internal workshop, contact us at support@boldcourses.com for a corporate license. Bulk or team use without a corporate license violates these Terms.

8. Professor Phil AI — Important Notice

Professor Phil is an AI-powered coaching assistant. It draws on Phil Danielson’s written frameworks and negotiation principles, but its responses are generated by a large language model and can be incomplete, out of date, or incorrect. Professor Phil is for educational purposes only. It is not legal, financial, medical, tax, employment, or psychological advice, and nothing it says creates a professional relationship of any kind. Always consult an appropriately licensed professional for decisions that carry those risks.

You are responsible for the content you enter into Professor Phil. Do not enter information that belongs to a third party and that you are not authorized to share, and do not enter sensitive data (government IDs, health data, financial account numbers, passwords). Conversations may be logged and reviewed in anonymized form to improve the model.

9. Acceptable Use

You agree not to:

  • Use the Services to violate any law or the rights of others;
  • Upload viruses, malware, or other harmful code;
  • Interfere with, disrupt, or probe the Services’ security;
  • Impersonate another person or misrepresent your affiliation;
  • Harass, threaten, or abuse our staff, other users, or AI systems;
  • Use the Services to create or distribute hate speech, sexually explicit content involving minors, or content that infringes intellectual-property rights.

10. User-Submitted Content

If you submit testimonials, answers, reflections, messages, or any other content through the Services (“User Content”), you retain ownership, but you grant us a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, display, and — in anonymized or aggregated form — use that User Content to operate and improve the Services. You represent that you have the right to grant this license and that your User Content does not violate any law or third-party right.

Written testimonials that you publicly post on our Sites or send us for marketing use may be quoted, attributed to your first name and last initial, and featured on our Sites or marketing materials unless you tell us otherwise at support@boldcourses.com.

11. No Guarantees; Results Vary

The Services teach skills and frameworks. Outcomes depend on many factors that are outside our control — your situation, your effort, the other party, market conditions, and more. We do not guarantee any particular salary increase, deal outcome, career result, or financial benefit. Case studies, testimonials, and example numbers on the Sites describe what specific individuals experienced and are not a prediction of your results.

12. Third-Party Services

The Services rely on third-party platforms (including GoHighLevel, Stripe, our email provider, our AI infrastructure provider, and hosting providers). Those services have their own terms and privacy policies, and we are not responsible for their availability, performance, or decisions.

13. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted access, and security.

14. Limitation of Liability

To the fullest extent permitted by law, Meso Holdings, LLC, its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or loss of goodwill, arising out of or related to the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to us for the Services in the twelve (12) months before the claim arose or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability; in those places, the limits above apply to the fullest extent permitted.

15. Indemnification

You agree to indemnify and hold harmless Meso Holdings, LLC and its members, officers, employees, and contractors from any claim, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

16. Termination

We may suspend or terminate your access to all or part of the Services at any time, with or without cause or notice, including if you breach these Terms. Upon termination, your license to use the Services ends and any provisions that by their nature should survive — including Sections 5 (Refunds and Cancellations), 6 (License), 10 (User Content), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law) — will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing any formal claim, you agree to first contact us at support@boldcourses.com and try in good faith to resolve the matter informally for at least 30 days.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we’ll revise the “Last updated” date above and, where appropriate, give additional notice (for example, by email or a notice on the Sites). Your continued use of the Services after an update means you accept the revised Terms.

19. Miscellaneous

These Terms, together with our Privacy Policy and any order confirmation or corporate agreement you sign with us, are the entire agreement between you and Meso Holdings, LLC concerning the Services. If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them to a successor as part of a business transfer.
